Michael R. Smith

Mike Smith began his career in military electronics while in the Air Force; worked as a consultant to geophysical firms in the leasing of land; was the sole founder of a private pay telephone company, Cointel; was the sole founder of Operator Service Company (OSC), a telecommunication and teleservices firm; was the sole founder of Merchant Clearing House (MCH), a billing company clearinghouse; and was the founder of Texas ICS Holding, LLC, the parent of Inmate Calling Solutions, LLC.

He has successfully been involved with over 10 additional start-up/financial/ management depressed companies.

Mike's 28 years of technical, managerial, and entrepreneurial experience make him extremely qualified to evaluate and determine value for most companies and operate them in a successful and profitable manner.

Jerry D. Gibson

Jerry Gibson has spent 45 plus years in business ventures worldwide. During his 16 years at Texas Instruments, he started and managed factories around the world, including the Far East, Mexico, Puerto Rico, and Europe.

For 10 years, he was Senior Vice President of DSC Communications Corporation, where he ran all of the company’s manufacturing operations during a period of rapid growth.

Over the last 20 plus years, Mr. Gibson has been a successful entrepreneur with several start-up and/or financial distressed companies.

His last start-up venture netted him a finalist with Ernst & Young’s Entrepreneur of the Year Award and was recognized as one of the Top Fastest Growing Companies, and recognized by SMU’s Cox Business School’s “Dallas Fastest Growing Companies.”

Charles Miller

In 2011, Charlie Miller joined Blue Wolf Capital as a Partner. Blue Wolf Capital is a private equity firm headquartered in New York City which invests in middle market opportunities in which carefully structured transactions can change organizations and create value.

Since 1997, Charlie Miller has been an Equity Partner at Patton Boggs LLP (Dallas office) in the Business Law Department. Mr. Miller has held a number of management positions at Patton Boggs LLP, including Deputy Managing Partner, ex-officio member of the firm’s Executive Committee, Co-Head of the Business Department, Hiring Partner for the Dallas office and a member of the firm’s Management Committee.

Mr. Miller is an entrepreneur and is involved with a number of private companies, including Paranet Solutions, LLC, a Dallas based IT services company (www.paranet.com); Cashmate LLC, a Dallas based billing and collection company serving the corrections industry; Dallas Renovation Group, a Texas renovation and remodeling company; Re-Bath franchises in Plano, Wichita Falls, and Tyler, Texas; and Wolfe Place Ranch LLC. Charlie's specialties include: Restructurings and Reorganizations, Private Equity, Financial Institutions, Cash Flow and Asset Based Finance, Syndicated Credit Facilities, Structured Finance, Hedge Funds, Healthcare Finance, Corporate Governance & Fairness Opinions.

Rodney J. Vilhauer

Rod Vilhauer believes strongly in value based leadership, core values, is highly motivated, integrous, persistent, tenacious, highly relational, performance driven, results oriented, and is a true leader and visionary in the construction industry.

Rod has been in the construction industry for 35 years with vast experience in excavation, site development, heavy equipment, heavy highway, commercial construction, value engineering, construction management, and team building.

Rod was the Co-Founder and President of one of the nation’s largest privately held civil contractors, with an annual revenue in excess of $300 million and was responsible for 350,000 residential lots, 1,000+ commercial jobs, numerous highways and landfills, and over 20+ golf courses throughout Texas and Oklahoma.

Mr. Vilhauer currently serves on the Board of Directors of Elevate Life Church in Frisco and served six years on the City of Frisco Planning and Zoning Commission.

Nicholetta (Chani) Vilhauer

Chani Vilhauer is a self-motivated and customer service driven business owner and entrepreneur.

Her fundamental qualifications are project management, business negotiations, and a belief in strong client relations. With a Bachelor of Science Degree from Texas A&M Commerce (East Texas State University), she began her career as a Corporate Account Executive with Nextel Communications specializing in construction and home building, where she consistently met or exceeded her sales goals.

She is a Licensed Realtor with Keller Williams Realty in the Dallas/Fort Worth residential market.

She is currently Owner and Vice President of Vilhauer Enterprises, LLC.
